Poder Ejecutivo deposita proyecto de ley para construir moderno estadio de béisbol y complejo inmobiliario en el ensanche La Fe
Santo Domingo.-The Executive Branch deposited before the National Congress a bill that authorizes the creation of the Real Estate Corporation for the Transformation of Ensanche La Fe (Citelf), a mixed capital commercial company that would be in charge of the development, construction and operation of a modern baseball stadium with standards of the United States Major League Baseball (MLB), in addition to a real estate and urban complex in the National District.
The proposal contemplates that the new stadium be built in the perimeter currently occupied by the Quisqueya Juan Marichal Stadium, in the La Fe expansion, and that it has the necessary conditions to host official matches of Major League teams, as well as other sports disciplines, recreational activities and social events.
The project is based on the importance of baseball for the Dominican Republic and highlights the presence of Dominican players in the Major Leagues, including the five members of the Cooperstown Hall of Fame: Juan Marichal, Pedro Martínez, Vladimir Guerrero, David Ortiz and Adrián Beltré. It also highlights that the Dominican team won the 2013 World Baseball Classic undefeated and that the country has accumulated 23 Caribbean Series championships.
The initiative indicates that, despite the international relevance of Dominican baseball, the country lacks a stadium with modern standards that allows it to offer fans greater conditions of comfort, security and services, in addition to facilitating the celebration of high-level international events.
An alliance between the State and the private sector
The legislative proposal proposes that the project be executed under a mixed capital scheme, with the participation of the Dominican State and private investors.
According to the project, the State and the Development and Export Bank (Bandex) will be able to contribute in nature the properties they own located within the blocks contemplated in the perimeter of the project. In exchange, they would receive shares corresponding to the value of the goods contributed, determined through an appraisal carried out by three professionals from the Institute of Appraisers of the Dominican Republic.
The project also establishes that the State may later contribute other lands occupied by public entities within the Special Use Zone of the La Fe expansion, with the purpose of developing the real estate and urban development component.
The proposal responds to a recommendation of the advisory commission created by Decree no. 306-25, of June 6, 2025, to evaluate the viability of building a stadium on state land in the La Fe expansion that would meet the requirements of the Major Leagues.
After carrying out consultations and studies, in addition to receiving MLB's requirements, the commission recommended that construction be carried out through an alliance with the private sector, through a mixed capital commercial company. It was also recommended that the private strategic partner be chosen through a transparent process and provide the necessary liquid resources for the construction of the stadium.
Competitive private partner selection
One of the central elements of the project is the planned mechanism to select private strategic partnership.
The proposal establishes a competitive procedure that must include the approval and publication of the bases, the presentation of credentials of interested parties, the technical and economic offers of prequalified participants and the negotiation of final conditions and association contracts.
Participants must demonstrate financial capacity to make the initial contribution established in the terms of reference, as well as technical capacity to design and build a stadium in accordance with Major League standards.
They must also present a sustainable business model for the development of the area, which includes new public spaces, internal streets and green areas, in addition to guaranteeing the continuous operation of the Quisqueya Juan Marichal Stadium throughout the construction period of the new stadium.
The conditions also include the remodeling of the Carlos “Teo” Cruz Boxing Coliseum.
A broader urban transformation
The project is not limited to the construction of a new sports facility. The proposal proposes taking advantage of the characteristics of the so-called “Ensanche La Fe special industrial estate” to develop a real estate and urban project that complements the stadium.
Ordinance 1/25, of February 11, 2025, declared the lands of the Quisqueya Stadium and the Carlos Teo Cruz Coliseum as a special polygon, in addition to areas occupied by institutions such as the National Institute of Traffic and Land Transportation (Intrant), the Ministry of Public Works and Communications (MOPC) and the Military and Police Commission (Comipol).
The initiative considers that the characteristics of this area justify that the construction of the stadium be accompanied by self-sustainable real estate development, with the participation of the private sector in the capitalization, financing and execution of the project.
Stadium and Coliseum would remain property of the State
One of the aspects established in the project is that the infrastructure of the new stadium and the Carlos “Teo” Cruz Boxing Coliseum will remain registered as permanent property of the Dominican State.
The proposal expressly provides that the commercial company may not sell or carry out acts of disposal regarding the property rights of these infrastructures.
Citelf would be in charge of a board of directors, while operational management would correspond to private investors and managers, in accordance with the commercial nature of the company. A third of the council members would be proposed by the public sector.
Bandexa would assume the unified representation of the contributions of the public sector in the social bodies, including the designation of its representatives on the board of directors.
Various financing avenues
The project contemplates that Citelf can finance its initiatives through different mechanisms, including cash contributions from the strategic partner, authorized investment funds, issuance of securities and bank financing.
However, the proposal establishes that the new baseball stadium and the Carlos “Teo” Cruz Coliseum cannot be used as real estate collateral.
Likewise, the company will be able to take advantage of the tax incentives existing in the Dominican legal system, in accordance with the nature of the project, both for the construction of the stadium and the remodeling of the Coliseum and for the development of the real estate complex.
El Quisqueya will continue operating during construction
The initiative provides for a transition stage to prevent the construction of the new stadium from affecting current sports operations.
Until Citelf is established and the strategic partner is selected, the Quisqueya Juan Marichal Stadium and the Carlos Teo Cruz Coliseum will continue under the current administration regime. Subsequently, the administration and management of both facilities will pass to the new company.
Once the administration of the stadium is assumed, Citelf must attend to the operational needs of the Professional Baseball League of the Dominican Republic (Lidom) and the teams that use the facility during the professional baseball season.
To this end, the project contemplates the signing of a framework agreement with Lidom that guarantees the rights to use and maintain the stadium, while the company will retain administrative control of the facility throughout the year.
Bandex will organize the selection process
The bill establishes that Bandex will be in charge of implementing Citelf's corporate structure and organizing the transparent process to select the private strategic partner.
The bases and terms of reference must also establish the scope of the project's governance and the matters reserved to the Dominican State.
The initiative provides that the law would come into force after its promulgation and publication, in accordance with the constitutional provisions and the deadlines established in the Civil Code of the Dominican Republic.

La iniciativa señala que, pese a la relevancia internacional del béisbol dominicano, el paíscarece de un estadio con estándares modernosque permita ofrecer a los aficionados mayores condiciones decomodidad, seguridad y servicios, además de facilitar la celebración deeventos internacionales de alto nivel. Una alianza entre el Estado y el sector privado La propuesta legislativa plantea que el proyecto sea ejecutado bajo un esquema decapital mixto, con participación delEstado dominicanoy deinversionistas privados. De acuerdo con el proyecto, el Estado y el Banco de Desarrollo y Exportaciones(Bandex)podránaportar en naturalezalos inmuebles de su propiedad ubicados dentro de las manzanas contempladas en el perímetro del proyecto. A cambio, recibirían lasaccionescorrespondientes al valor de los bienes aportados, determinado mediante unatasación realizada por tres profesionales del Instituto de Tasadores de la República Dominicana. El proyecto establece además que el Estado podrá aportar posteriormenteotros terrenosocupados por entidades públicas dentro de laZona de Uso Especial del ensanche La Fe,con el propósito de desarrollar el componente inmobiliario y urbanístico. La propuesta responde a una recomendación de lacomisión consultivacreada mediante elDecreto núm. 306-25, del 6 de junio de 2025, para evaluar la viabilidad de construir en terrenos estatales del ensanche La Fe un estadio que cumpliera con los requerimientos de las Grandes Ligas. Luego de realizar consultas y estudios, además de recibir los requerimientos de MLB, la comisión recomendó que la construcción se realizara mediante una alianza con el sector privado, a través de una sociedad comercial de capital mixto. También se recomendó queel socio estratégico privado fuera escogido mediante un proceso transparentey aportara losrecursos líquidosnecesarios para la construcción del estadio. Selección competitiva del socio privado Uno de los elementos centrales del proyecto es elmecanismo previstopara seleccionar alsocio estratégico privado. La propuesta establece un procedimiento competitivo que deberá incluir la aprobación ypublicación de las bases, la presentación decredenciales de los interesados, las ofertas técnicas y económicas de losparticipantes precalificadosy la negociación de lascondiciones finalesy de loscontratosde asociación. Los participantes deberán demostrarcapacidad financierapara realizar el aporte inicial que se establezca en los términos de referencia, así comocapacidad técnicapara diseñar y construir un estadio conforme a losestándares de las Grandes Ligas. También deberán presentar unmodelo de negocio sosteniblepara el desarrollo del área, que contemple nuevos espacios públicos, calles internas y áreas verdes, además de garantizar elfuncionamiento continuo del Estadio Quisqueya Juan Marichaldurante todo el período de construcción del nuevo estadio. Entre las condiciones también figura laremodelación del Coliseo de Boxeo Carlos “Teo” Cruz. Una transformación urbana más amplia El proyecto no se limita a la construcción de una nueva instalación deportiva. La propuesta plantea aprovechar las características del denominado“polígono especial Ensanche La Fe”para desarrollar unproyecto inmobiliario y urbanísticoque complemente el estadio. La Ordenanza 1/25, del 11 de febrero de 2025, declaró como polígono especial los terrenos del Estadio Quisqueya y del Coliseo Carlos Teo Cruz, además de áreas ocupadas por instituciones como el Instituto Nacional de Tránsito y Transporte Terrestre(Intrant), el Ministerio de Obras Públicas y Comunicaciones(MOPC)y la Comisión Militar y Policial(Comipol). La iniciativa considera que las características de esta zona justifican que la construcción del estadio sea acompañada por undesarrollo inmobiliario autosostenible, con la participación del sector privado en la capitalización, financiamiento y ejecución del proyecto. Estadio y Coliseo seguirían siendo propiedad del Estado Uno de los aspectos establecidos en el proyecto es que las infraestructuras delnuevo estadioy delColiseo de Boxeo Carlos “Teo” Cruzpermanecerán registradas comopropiedad permanente del Estado dominicano. La propuesta dispone expresamente que la sociedad comercial no podrá enajenar ni realizar actos de disposición sobre el derecho de propiedad de estas infraestructuras. Citelf estaría a cargo de unconsejo de administración, mientras que lagestión operativacorrespondería a losinversionistas y gestores privados, conforme a la naturaleza comercial de la sociedad. Unatercera partede los integrantes del consejo seríapropuesta por el sector público. Bandexasumiría larepresentación unificada de los aportes del sector públicoen los órganos sociales, incluida la designación de sus representantes en el consejo de administración. Diversas vías de financiamiento El proyecto contempla que Citelf puedafinanciar sus iniciativas mediante diferentes mecanismos, entre ellos los aportes en efectivo del socio estratégico, fondos de inversión autorizados, emisión de valores y financiamiento bancario. No obstante, la propuesta establece queel nuevo estadio de béisbol y el Coliseo Carlos “Teo” Cruz no podrán ser utilizados como garantía inmobiliaria. Asimismo, la sociedad podrá acogerse a losincentivos fiscalesexistentes en el ordenamiento jurídico dominicano, de acuerdo con la naturaleza del proyecto, tanto para la construcción del estadio y la remodelación del Coliseo como para el desarrollo del complejo inmobiliario. El Quisqueya continuará operando durante la construcción La iniciativa prevé unaetapa de transiciónpara evitar que la construcción del nuevo estadio afecte lasoperaciones deportivas actuales. Hasta que Citelf sea constituida y se seleccione el socio estratégico, el Estadio Quisqueya Juan Marichal y el Coliseo Carlos Teo Cruz continuarán bajo el régimen de administración vigente. Posteriormente, la administración y gestión de ambas instalaciones pasarán a la nueva sociedad. Una vez asumida la administración del estadio,Citelf deberá atender las necesidades operativasde la Liga de Béisbol Profesional de la República Dominicana(Lidom)y de los equipos que utilizan la instalación durante la temporada de béisbol profesional. Para ello, el proyecto contempla lasuscripción de un convenio marco con Lidomque garantice los derechos deuso y mantenimiento del estadio, mientras la sociedad conservará elcontrol administrativode la instalación durante todo el año. Bandex organizará el proceso de selección El proyecto de ley establece queBandextendrá a su cargo la implementación de laestructura societaria de Citelfy la organización delproceso transparentepara seleccionar al socio estratégico privado. Las bases y términos de referencia deberán establecer, además, el alcance de lagobernanzadel proyecto y lasmaterias reservadas al Estado dominicano. La iniciativa dispone que la ley entraría en vigencia después de supromulgación y publicación, conforme a las disposiciones constitucionales y los plazos establecidos en elCódigo Civil de la República Dominicana.
